Mr. Cavalier engages in all areas of transactional and general corporate representation. His transactional practice encompasses a broad range of business-relationship matters, from mergers and acquisitions to organization of new business ventures. Mr. Cavalier has successfully negotiated on behalf of his corporate clients all forms of commercial contracts, employment agreements, licensing arrangements and other private-partnership matters. In the last several years, Mr. Cavalier acted as lead counsel for Coastal Telephone Company (a switch based long distance reseller and a long time corporate client) in the $110 million dollar sale of its business to publicly held, IXC Communications, Inc. of Austin, Texas (IIXC) and as lead counsel for C Data Services, Inc. (a real estate data services company) in the sale of its business to publicly held Realty Information Group, Inc. of Bethesda, Maryland (RIGX).
Mr. Cavalier has served as outside general counsel for Trans-Global Solutions, Inc. f/k/a Econo-Rail Corporation (TGS) a large railroad services and bulk handling operator for over ten (10) years. During the course of his representation, Mr. Cavalier has negotiated several major acquisitions and various multi-national joint ventures on behalf of TGS between the company and others, including Cemex, Shell Oil Company, Phillips Petroleum Corporation, Lyondell Petrochemical Corporation, Premcor Refinery Corporation, Mitsubishi Corporation and Mobil Oil Corporation. The collective value of these transactions has exceeded One Billion ($1,000,000,000.00) Dollars.
In 2005 TGS sold all of its bulk handing operations for approximately $245 million to an affiliate of Kinder Morgan Energy Partners a leading US pipeline limited partnership. Mr. Cavalier served as lead counsel for TGS in connection with the transaction.
Mr. Cavalier also serves as outside general counsel for CyrusOne, a privately owned co-location and managed services provider which serves several Fortune 500 Companies headquarters in Houston.
In the past two (2) years, Mr. Cavalier has also served as counsel for the borrower in several single lender and syndicated loan transactions exceeding one hundred million ($100,000,000.00) dollars in value.
For six (6) years, Mr. Cavalier acted as outside general counsel for Parker Brothers & Co., Inc., a large privately held construction materials concern which sold parts of its business to LaFarge Corporation (the worlds largest cement provider).
